Important: Please read these Terms of Service carefully before using PrimeInspect. By accessing or using our services, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access our services.

1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Tecsack Software Private Limited ("PrimeInspect", "Company", "we", "us", or "our") concerning your access to and use of the PrimeInspect platform and services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

PrimeInspect is a cloud-based digital inspection and audit management platform designed for manufacturing, industrial operations, and quality control processes. Our services include:

  • Digital inspection form creation and customization
  • Inspection scheduling and automation
  • Mobile applications for iOS and Android
  • Data collection, storage, and analytics
  • Report generation and compliance documentation
  • User management and role-based access control
  • Multi-site and location management
  • Integration capabilities with third-party systems

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To access PrimeInspect, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Requirements

  • You must be at least 18 years old to create an account

5. Subscription Plans and Billing

PrimeInspect offers various subscription plans with different features and limitations. Current plan details are available on our pricing page. We reserve the right to modify our pricing structure at any time.

5.2 Billing and Payment

  • Payment Terms: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan
  • Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
  • Payment Methods: We accept major credit cards and other payment methods as specified on our platform
  • Taxes: Fees are exclusive of applicable taxes, which will be added to your invoice
  • Late Payment: Failure to pay may result in service suspension or termination

5.3 Refund Policy

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion on a case-by-case basis. If you believe you are entitled to a refund, please contact our support team within 30 days of the charge.

5.4 Free Trial

We may offer free trials for new users. Free trial terms will be specified at the time of sign-up. We reserve the right to modify or cancel free trial offers at any time.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The PrimeInspect platform, including all software, content, features, designs, graphics, logos, and trademarks, is owned by Tecsack Software Private Limited and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes in accordance with these Terms. This license does not include any right to:

  • Resell or make commercial use of the service
  • Modify, reproduce, or create derivative works
  • Download or copy content (except as expressly permitted)
  • Use data mining, robots, or similar tools

6.2 Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas about the service, you grant us the right to use such feedback without any obligation to you, including the right to incorporate such feedback into our service.

7. User Content and Data

7.1 Your Content

"User Content" means any data, information, files, photos, videos, or other content that you upload, submit, or transmit through the service. You retain all ownership rights to your User Content.

7.2 License to Your Content

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving our services to you.

7.3 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms and applicable laws
  • Your User Content does not contain malware or harmful code

7.4 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of your User Content. We are not liable for any loss or corruption of User Content.

7.5 Data Export

You can export your data at any time through our platform's export functionality. Upon termination of your account, you will have a limited period (typically 30 days) to export your data before it is deleted.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using PrimeInspect, you consent to the collection and use of your information as described in our Privacy Policy. We comply with applicable data protection laws, including GDPR and CCPA where applicable.

9. Service Availability and Support

9.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be unavailable due to maintenance, updates, or circumstances beyond our control. We aim for 99.5% uptime but are not liable for any downtime or service interruptions.

9.2 Maintenance

We may perform scheduled or emergency maintenance that may temporarily affect service availability. We will provide advance notice of scheduled maintenance when reasonably possible.

9.3 Customer Support

Support services are provided according to your subscription plan. Support channels may include email, phone, chat, or our help center. Support availability and response times vary by plan level.

10. Disclaimers and Warranties

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Warranty

We do not warrant that:

  • The service will meet your specific requirements
  • The service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the service will be accurate or reliable
  • Any errors in the service will be corrected
  • The service is free from viruses or other harmful components

10.3 Third-Party Services

Our service may integrate with third-party services and platforms. We are not responsible for the availability, accuracy, or content of third-party services, and your use of such services is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRIMEINSPECT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the service
  • Any conduct or content of any third party on the service
  • Any content obtained from the service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Service interruptions, errors, or data loss

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless PrimeInspect, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your breach of any representation or warranty contained in these Terms

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through your account settings
  • Contacting our support team

Upon termination by you, you will not be entitled to a refund of any prepaid fees unless otherwise specified in our refund policy.

13.2 Termination by Us

We may suspend or terminate your account and access to the service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Request by law enforcement or government agencies
  • Extended periods of inactivity
  • Engaging in prohibited activities

13.3 Effect of Termination

Upon termination:

  • Your right to use the service immediately ceases
  • You must cease all use of the service
  • We may delete your User Content after a grace period (typically 30 days)
  • Provisions of these Terms that by their nature should survive termination shall survive

14. Modifications to Service and Terms

14.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

14.2 Terms Modifications

We may revise these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending an email notification (for material changes)

Your continued use of the service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the service.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Bangalore, India, for the resolution of any disputes arising out of or relating to these Terms or the service.

If you are accessing the service from outside India, you are responsible for compliance with local laws applicable to your use of the service.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal claim, you agree to first contact us to attempt to resolve any dispute informally. Please send a written notice describing the dispute to legal@primeinspect.com.

16.2 Arbitration

If we cannot resolve the dispute informally within 60 days, either party may initiate binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties.

16.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in any class action or representative proceeding.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the service, constitute the entire agreement between you and PrimeInspect concerning the service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the service.

17.7 Language

These Terms are provided in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.
